Terms of Service
1. Introduction
1.1 SpineDAO Association and its affiliates ("SpineDAO"/"us"/"we") provide a platform and services aimed at fostering innovation in spinal health research and associated fields through our website (the "Site") and our application for mobile devices, tablets, and other similar devices (the "App"). Collectively, the Site, App, and associated content and services are referred to herein as the "Services."
1.2 By accessing or using the Services, including by downloading or posting any content from or through the Services, you agree to be bound by these Terms of Service ("Terms"), which constitute a binding legal agreement between you and SpineDAO. If you accept or agree to these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" and "your" will also apply to that entity.
2. Key Content-Related Terms
2.1 "Content" Any text, graphics, images, software, videos, and other materials made available through the Services.
2.2 "Collective Content": SpineDAO Content and User Content collectively.
2.3 "SpineDAO Content": Content we create, license, or otherwise provide, including but not limited to promotional material, research publications, and proprietary resources, excluding User Content.
2.4 "User Content": Content uploaded, posted, or shared by users of the Services, including comments, submissions, and any intellectual property users choose to contribute to the platform.
2.5 Ownership and License:
- SpineDAO retains ownership of SpineDAO Content.
- By submitting User Content, you grant SpineDAO a worldwide, non-exclusive, royalty-free license to use, distribute, modify, and display such content for purposes related to the Services.
- You represent and warrant that you own or have the necessary rights to grant the license for any User Content you submit.
3. Modifications to Services or Terms
3.1 We reserve the right to modify, discontinue, or update the Services and these Terms at any time. Such changes will be effective upon posting. Continued use of the Services constitutes acceptance of the updated Terms.
3.2 Notification of Changes: We will make reasonable efforts to notify users of significant changes to these Terms, either via email or through prominent notices within the Services.
4. Account Registration; Conditions on Access and Use of Services
4.1 Availability: Access to and use of the Services is limited to individuals who are at least 18 years of age. The Services are available worldwide but currently not for the following countries: Cuba, Syria, Sudan, Libya, Iran, Myanmar, and North Korea.
4.2 Minors: The Terms and Privacy Policy apply to your access and use of the Services and describe SpineDAO’s practices and policies related to the collection, use, and storage of information about Registered Users. SpineDAO’s privacy practices are consistent with Federal Children’s Online Privacy Protection Act (“COPPA”), and SpineDAO will not knowingly request or collect personal information from any child under the age of majority. If a child under 13 submits personal information to SpineDAO and we learn that such information is of a child under 13, we will attempt to delete the information as soon as possible. If you believe that we might have any personal information from a child under 13, please contact us at privacy@spinedao.org.
BY ESTABLISHING AN ACCOUNT, YOU REPRESENT THAT YOU ARE AN ADULT AND AGREE TO BE PERSONALLY BOUND BY ALL OF THE TERMS AND CONDITIONS CONTAINED HEREIN.
4.3 Registration:To register, you must provide a username, and, at your option, your name, surname, email address, password, areas of interest, verification details, and other information specified in the registration form (collectively, “Registration Data”). You represent and warrant: (i) The Registration Data that you provide about yourself is true, accurate, current, and complete. (ii) You are at least 18 years of age. (iii) You will maintain and promptly update the Registration Data to keep it at all times true, accurate, current, and complete.
You authorize SpineDAO, in its sole discretion, to confirm and verify the truthfulness and accuracy of the Registration Data. If you provide any information that is untrue, inaccurate, not current, or incomplete, or if SpineDAO has reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete, SpineDAO has the right to suspend or terminate your Account and refuse any and all current or future use of the Services.
Use of the Services is void where prohibited by law or otherwise. By using the Services, you represent and warrant that you have the right, authority, and capacity to agree to and abide by these Terms and that you are not prohibited from using the Services. You understand that your use of the Services may involve or require the transmission of significant amounts of data. You are solely responsible for all data charges that may be charged by your wireless carrier or internet service provider or that may otherwise arise from your use of the Services.
4.4 Subscription/Usage Fees: SpineDAO does not currently charge fees for the use of the Services. However, you acknowledge and agree that SpineDAO reserves the right, in its sole discretion, to charge you for and collect fees from you for the use of the Services and to send and receive communications. SpineDAO will provide notice of any fee collection via the Services prior to implementing such a fee, and you will have a choice at that time to continue to use the Services or not. If you choose not to pay, SpineDAO reserves the right to immediately terminate your access to the Services.
5. Privacy
5.1 Collection and Use: We collect personal and non-personal information as outlined in our Privacy Policy, including but not limited to registration details, usage data, and preferences.
5.2 Data Sharing: We share information with trusted third parties only as required for providing Services, compliance with laws, or protection of rights.
5.3 User Rights:Users may request access to or deletion of their personal information as outlined in the Privacy Policy.
5.4 Cookies and Tracking:The Services use cookies and similar tracking technologies. Details are available in our Cookies Policy.
6. Security
6.1 Security Measures: We implement industry-standard security measures to safeguard the Services and your personal information from unauthorized access, disclosure, alteration, or destruction. These measures include encryption, secure data storage, and access controls.
6.2 User Responsibility: You are responsible for maintaining the confidentiality of your account credentials and any activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account.
6.3 No Guarantee:While we strive to protect your personal information, we cannot guarantee absolute security. You acknowledge that you provide your information at your own risk.
7. User Conduct
7.1 You agree not to:
- Violate any applicable laws or regulations.
- Post or share infringing, unlawful, or harmful content.
- Interfere with the functionality of the Services or compromise the security of the Services.
- Misrepresent your identity or affiliations.
8. Feedback
8.1 User Feedback: We welcome and encourage your feedback, comments, and suggestions for improvements to the Services ("Feedback"). By submitting Feedback, you grant SpineDAO a non-exclusive, royalty-free, perpetual, irrevocable, and fully transferable license to use, reproduce, modify, distribute, and otherwise exploit the Feedback for any purpose without restriction.
8.2 No Obligation: SpineDAO is under no obligation to use any Feedback you provide or to compensate you for it.
9. Analytics Services
9.1 Google Analytics: We use Google Analytics on our websites, which is a service by third parties that could be located anywhere in the world (in the case of Google Analytics, it is Google LLC in the USA, www.google.com). Google Analytics allows us to measure and evaluate the use (non-personal) of the website. For this purpose, permanent cookies are also used, which are set by the service provider.
9.2 Data Use by Google Analytics: The service provider does not receive any personal data (and does not store any IP addresses) but can track your use of the website, combine this information with data from other websites you have visited and are also tracked by the service provider, and use these insights for its own purposes (e.g., to tailor advertising). If you have registered yourself with the service provider, then this service provider also can identify you. The processing of your personal data by the service provider is therefore the responsibility of the service provider in accordance with its own data protection provisions. The service provider merely informs us as to how our respective website is used (no personal information about you).

10. Disclaimers
10.1 No Warranty: The Services are provided "as is" and "as available," without warranties of any kind, express or implied. SpineDAO does not warrant that the Services will meet your requirements, be uninterrupted, timely, secure, or error-free.
10.2 Limitation of Liability: To the maximum extent permitted by law, SpineDAO shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services, including without limitation, any defamatory, offensive, or illegal conduct of other users or third parties; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content.
10.3 Indemnification: You agree to defend, indemnify, and hold harmless SpineDAO, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Services.
11. Links
The Site, Services, or App may contain links to third-party websites or resources that are not affiliated with or controlled by SpineDAO. You acknowledge and agree that SpineDAO is not responsible or liable for: (i) the availability or accuracy of such external websites or resources; or (ii) the content, products, or services offered by or available from such websites or resources, which are solely the responsibility of the respective third parties. The inclusion of any such links does not imply endorsement, sponsorship, or approval by SpineDAO of the linked websites, resources, or the content, products, or services available from them. You assume sole responsibility for and accept all risks arising from your use of any such third-party websites, resources, or the content, products, or services they offer.
